Terms of Service

These terms apply when you use webvinora.com and when you request quotes or services from Webvinora. Please read them carefully. If you sign a project-specific proposal, statement of work or contract with us, that document prevails over these website terms wherever they conflict.

Who we are and agreeing to these terms

Webvinora is operated by [LEGAL ENTITY NAME], registered at [REGISTERED ADDRESS] (company registration number [COMPANY REGISTRATION NUMBER]). “We”, “us” and “our” mean [LEGAL ENTITY NAME]. “You” means the person or business using the website or our services.

By using the website or engaging our services you agree to these terms. If you are acting for a business, you confirm you have authority to bind it.

Using the website

You may browse and use the website for lawful purposes. You must not try to disrupt it, gain unauthorised access, scrape it at scale, or use it to send spam or harmful code.

Website content is for general information and may change without notice. It is not professional advice for your specific situation.

Quotes and proposals

Quotes and proposals are based on the information you give us and are valid for [QUOTE VALIDITY PERIOD] unless they state otherwise. A project starts once you accept a written proposal and any initial payment has been received.

Most projects are fixed-price for an agreed scope. The proposal sets out the deliverables, timeline, number of revision rounds and payment milestones.

Payments

Payments are due in the milestones set out in your proposal, typically a deposit before work starts and the balance at agreed stages or on completion. Invoices are payable within [PAYMENT TERMS] unless stated otherwise.

If a payment is late, we may pause work until it is received, and timelines may move accordingly. Prices exclude any applicable taxes unless stated.

Scope changes

Anything outside the agreed scope is handled through a written change request. We will tell you the effect on price and timeline, and the change only goes ahead once you approve it in writing (email is fine).

Your responsibilities

Projects run on time when we get what we need. You agree to:

  • Provide content, images, logins and information on time, and confirm you have the rights to use anything you send us.
  • Review work and give consolidated feedback and approvals within the agreed periods.
  • Make sure your business, products and content comply with the laws that apply to you, including advertising and consumer rules.
  • Keep your own accounts, such as domain, hosting, analytics and ad accounts, secure and paid up.

Intellectual property

Once you have paid in full, you own the final deliverables created specifically for you, such as the design and code of your website, as described in the proposal. Until full payment, we keep ownership and grant you a limited licence to review the work.

We keep ownership of our pre-existing tools, code libraries, templates, methods and know-how, and grant you a non-exclusive, perpetual licence to use any of them included in your deliverables. Third-party items such as fonts, plugins, stock media and software remain subject to their own licences.

We will only show your project in our portfolio, case studies or marketing with your permission.

Third-party services

Our work often relies on third-party platforms such as hosting, domain registrars, content management systems, analytics, ad platforms and WhatsApp. Their own terms apply, and we are not responsible for their availability, pricing changes, policy decisions or account suspensions.

No guaranteed results

We work with care and skill, but search rankings, traffic, ad performance, leads and sales depend on factors outside our control, such as search engine algorithms, ad platform auctions, competition and your market. We do not guarantee any specific ranking, position or advertising result.

Except as expressly stated in a signed proposal, the website and our services are provided “as is” and, to the extent permitted by law, we disclaim all other warranties, express or implied.

Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, or for loss of profits, revenue, data or business opportunity. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the [LIABILITY PERIOD] before the claim.

Nothing in these terms limits liability that cannot legally be limited, such as liability for fraud or for death or personal injury caused by negligence.

Termination

Either party may end a project by written notice if the other materially breaches these terms or the proposal and does not fix it within [CURE PERIOD] of being asked. You may also end a project for convenience by giving written notice.

If a project ends early, you pay for work completed and costs committed up to the end date, and you receive the deliverables covered by that payment. We may suspend or end access to the website for anyone who misuses it.

Governing law, changes and contact

These terms are governed by the laws of [GOVERNING LAW / JURISDICTION], and disputes will be handled by the courts of [GOVERNING LAW / JURISDICTION], unless a project contract says otherwise or mandatory consumer law gives you other rights.

We may update these terms from time to time. The date at the top shows the latest version, and changes do not affect a proposal you have already accepted.
